Welcome to MycoDAO (“we,” “us,” or “our”). The following Terms of Service (“Terms”) govern your access to and use of the MycoDAO website located at https://mycodao.com (“Website”), any associated mobile applications (“Myco App”), related platforms, DAO governance portals, communication channels, and any other services or features provided by MycoDAO (collectively, the “Services”).

By accessing or using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms.If you do not agree with any part of these Terms, you must discontinue use of our Services. These Terms form a legally binding agreement between you and MycoDAO.

1. Eligibility & Age Restrictions

1. Users Under 13
  • Our Services are **not intended** for children under 13. We do not knowingly solicit or collect Personal Information from children under 13. If you are under 13, please do not use or access our Services at any time or in any manner.
2. Users Aged 13–17
  • If you are between 13 and 17, you may only use our Services under the **supervision and with the consent of a parent or legal guardian**. By using our Services, you represent that you have obtained parental/guardian consent and that your parent or guardian agrees to be bound by these Terms on your behalf.  
  •   - We reserve the right to request verification of your age or parental consent at any time. Certain features of our Services (e.g., blockchain-based transactions, DAO voting, or auctions) may not be available to minors under 18.
3. Users 18 and Older
  • If you are 18 or older, you can use the Services freely but remain subject to these Terms and any other applicable laws or regulations.

If we become aware of any User under 13 accessing the Services, we will take steps to remove any associated data and terminate the account, if applicable.

2. Modifications to the Terms

1. Right to Modify
  • We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. When we do so, we will update the “Last Updated” date at the top of this page.
2. Notice and Acceptance of Changes
  • We may notify you of major changes (e.g., by email or prominent posting on the Website), but it is your responsibility to review these Terms periodically for updates.  
  • Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
  • If you do not agree to the modified Terms, you must cease using the Services.

3. Description of Services

1. MycoDAO Website & Myco App
  • Provides information about MycoDAO’s mission, activities, and educational resources.  
  • Offers functionalities including governance voting, scientific proposals, MYCO token features, auctions, and community forums.
2. DAO Governance
  • MycoDAO may utilize third-party or decentralized platforms (e.g., realms.today) for voting, proposal submission, and governance. You may need a compatible blockchain wallet (e.g., Solana) to participate in voting or governance actions.
3. MYCO Token & Blockchain Transactions
  • MYCO Token may be accessed on various blockchains (e.g., Solana). Transactions are governed by the rules of the respective blockchain, are publicly visible, and cannot be reversed once confirmed on-chain.
4. Community Channels
  • We host or moderate channels on Discord, Telegram, X (formerly Twitter), and other social platforms. By joining these channels, you agree to abide by any community guidelines and platform rules.

4. User Accounts & Wallet Addresses

1. Account Creation
  • You may be required to register or create an account to access certain features. You agree to provide accurate, current, and complete information when creating an account and to update it promptly as necessary.
2. Blockchain Wallets
  • Some features (e.g., voting, token transactions, auctions) require you to connect a blockchain wallet. You are solely responsible for the security of your wallet and private keys. We are not responsible for any loss arising from unauthorized use of your wallet.
3. Account Security
  • You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately if you suspect unauthorized access to your account or any breach of security.

5. User conduct

By using our Services, you agree not to:

  1. Violate any applicable federal, state, local, or international laws and regulations;  
  2. Engage in any activity that exploits, harms, or attempts to harm minors;  
  3. Submit false or misleading information;  
  4. Post or share any harassing, defamatory, obscene, or inappropriate content;  
  5. Interfere with or disrupt the normal flow of the Services, including any servers or networks used to provide them;  
  6. Use automated systems (e.g., bots, spiders, scrapers) to access or manipulate the Services without our prior written consent;
  7. Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

We reserve the right to suspend or terminate your account for any violation of these Terms, in our sole discretion.

6. Intellectual Property

1. Ownership
  • All content, features, and functionality on the Services—including trademarks, service marks, logos, text, graphics, images, code, and software—are owned by or licensed to MycoDAO, and are protected by applicable intellectual property laws.
2. License to Use
  • Subject to these Terms, MycoDAO grants you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.
3. Feedback
  • Any feedback, suggestions, or ideas you submit to us regarding the Services (“Feedback”) may be used by us without compensation or attribution to you, and you irrevocably assign all rights in such Feedback to us.

7. Blockchain Disclosures

1. Transparency
  • Transactions on public blockchains (e.g., Solana) are inherently transparent. Your wallet address, transaction details, voting records, and other on-chain actions may be publicly visible.
2. Immutability
  • Once a transaction is confirmed on the blockchain, it cannot be altered or deleted. MycoDAO has no control over and assumes no responsibility for blockchain-specific operations.
3. Risks
  • Using cryptocurrency and decentralized networks carries certain risks, including potential loss of funds, fluctuations in token value, and third-party attacks. You acknowledge and accept these risks.

8. Disclaimer of Warranties

1. “AS IS” and “AS AVAILABLE”
  • MycoDAO provides the Services on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, whether express or implied.
2. No Guarantees
  • We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We also do not make any warranty regarding the accuracy, timeliness, reliability, or completeness of any information provided.
3. No Investment Advice
  • Nothing on the Website, Myco App, or Services constitutes financial, legal, or investment advice. We make no representation about the potential value or regulatory status of any digital asset, including MYCO token.

9. Limitation of Liability

1. No Liability for Certain Damages
  • To the fullest extent permitted by law, MycoDAO shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use or inability to use the Services.
2. Cap on Liability
  • In no event will MycoDAO’s aggregate liability to you exceed the amount you have paid (if any) for accessing or using the Services in the twelve months preceding the event giving rise to liability.
3. Jurisdictional Limitations
  • Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so these limitations may not apply to you in full.

10. Indemnification

You agree to defend, indemnify, and hold harmless MycoDAO, its affiliates, officers, agents, employees, and partners from and against any claims, actions, or demands arising out of or related to:

  • Your use of the Services;  
  • Your violation of any of these Terms;  
  • Your violation of any rights of a third party, including any intellectual property or privacy rights;  
  • Any unlawful, unauthorized, or fraudulent use of the Services.

11. Governing Law & Dispute Resolution

1. Governing Law
  • These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.
2. Arbitration
  • Any dispute or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a recognized arbitration provider. You and MycoDAO agree to waive the right to a jury trial or to participate in class actions.
3. Injunctive Relief
  • Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12. Termination

1. Right to Terminate
  • We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.
2. Effect of Termination
  • Upon termination, the rights and licenses granted to you herein shall cease immediately. Sections related to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law & Dispute Resolution shall survive termination.

13. Links to Third-Party Websites and Services

Our Services may include links to third-party websites, decentralized applications, or resources. These are provided solely as a convenience, and we have no control over the content or privacy practices of those third-party sites. Your use of third-party sites is at your own risk and subject to their terms and conditions.

14. Privacy Policy

Our Privacy Policy is incorporated by reference into these Terms. By using the Services, you agree that we can collect, use, and share your information in accordance with our Privacy Policy. If you do not agree to the Privacy Policy, you must cease using the Services.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of any remaining provisions.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or guidelines posted on our Website or otherwise provided to you, constitute the entire agreement between you and MycoDAO concerning your use of the Services, superseding any prior agreements.
